GENERAL TERMS AND CONDITIONS OF PURCHASE FOR ECORIDE AB1. General1.1

These general terms and conditions of purchase (“the Terms”) apply when you, as a consumer (“the Customer” or “you”), place an order with Ecoride AB, company registration number 556764-6871, Terminalvägen 6, 418 79 Gothenburg (“Ecoride”, “we”, “us” or “our”). The Terms apply to purchases made via Ecoride’s webshop (www.ecoride.com), through authorized retailers, as well as in Ecoride’s own physical stores, unless otherwise expressly agreed in writing. For purchases from authorized retailers, the retailer’s own terms may also apply in addition to or instead of parts of these Terms.

1.2

By completing an order, you accept these Terms in their entirety and confirm that the information you provide about yourself is accurate and complete. When ordering via our webshop, an order confirmation will be sent to the email address you have provided. This order confirmation constitutes confirmation that an agreement has been entered into between you and Ecoride. Please carefully check that all information in the order confirmation is correct. If anything is incorrect, contact our customer service immediately.

1.3

Agreements are concluded in Swedish. Ecoride archives concluded agreements and makes them available to the Customer upon request.

1.4

To make a purchase from Ecoride, you must be at least 18 years old. If you are under 18, consent from a legal guardian is required. Ecoride reserves the right to refuse an order, for example if incorrect personal data has been provided or if there are other objective reasons.

Information on how Ecoride processes your personal data is available in our current Privacy Policy, which can be found here. By accepting these Terms, you also confirm that you have read our Privacy Policy.

1.6

All content on Ecoride’s website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is owned by Ecoride or our licensors and is protected by Swedish and international copyright laws.

2. Product Information and Specifications2.1

Information about Ecoride’s products and their main characteristics and specifications is provided on each product page on our website, in product sheets, or by sales staff in our physical stores or at authorized retailers.

2.2

Ecoride’s electric bicycles may be equipped with Internet of Things (IoT) functionality. This means that the bicycle is connected and can collect and transmit certain data. The primary purposes of the IoT functionality include, but are not limited to, theft protection features (e.g. GPS tracking of the bicycle in the event of a reported theft) and facilitating service and maintenance. The Customer may access certain data and functionality via Ecoride’s mobile application (“the App”). In the event of theft, you must personally register and confirm the theft via the logged-in section “My Pages” at www.ecoride.com. For Ecoride to process the case and release location data, you must attach a copy of a valid police report. Once these steps have been completed, a theft report containing available GPS data will be generated and sent to you. More detailed information about what data is collected and how it is used can be found in our Privacy Policy.

2.3

Ecoride reserves the right for any typographical errors, errors in product descriptions or technical specifications, incorrect prices, and sold-out products. Ecoride has the right to correct such errors and to change or update information at any time. Product images on the website are for illustrative purposes only and may differ from the actual product. Color reproduction may also vary depending on screen and settings.

3. Orders and Conclusion of Agreement3.1 Webshop

Orders are placed via our website www.ecoride.com. After you have placed your order, an order confirmation will be sent to your email address. An agreement is deemed to have been concluded when Ecoride has confirmed your order in writing (via email).

3.2 Physical Store / Authorized Retailer

An agreement is concluded in the store at the time of purchase. An order confirmation or receipt is provided in accordance with the store’s procedures.

3.3

Ecoride reserves the right to refuse an order, for example if a product is out of stock, due to technical issues, suspected fraud, or if the Customer has payment default records.

4. Prices and Payment4.1

The prices stated at the time of ordering apply. All prices on the website and in Swedish stores are stated in Swedish kronor (SEK) and include value-added tax (VAT). In the webshop checkout, the total price is specified, including any delivery fees, payment method fees, and applicable discounts.

4.2

Ecoride may offer various campaigns and promotions. Such offers are valid for the duration of the campaign and for the specific products included, unless otherwise stated. Ecoride reserves the right to withdraw such promotions at any time.

4.3

Payment can be made using the methods specified at checkout on the website or in the physical store. Ecoride cooperates with a payment service provider, currently Qliro, to offer secure and flexible payment options. Available payment methods may include invoice, installment payment, card payment, and direct payment. The terms for each payment method are stated at the time of payment and by the payment service provider. In the case of credit purchases, a credit check may be performed.

4.4

If invoice payment is selected, an invoice fee may apply and will be specified at checkout. The invoice is usually sent by email. In the event of late payment, reminder fees and statutory default interest may be charged.

5. Delivery and Transfer of Risk5.1

Delivery is made to the address specified by the Customer at the time of ordering, or to a pickup point/store according to the selected delivery method. Ecoride delivers within Sweden, Norway, Denmark, Finland, and Poland. Information about estimated delivery times and shipping costs for different delivery options is provided at checkout on the website or by sales staff.

5.2

Ecoride strives to deliver ordered goods within the stated timeframe. If a delivery is delayed, Ecoride will inform you and, if possible, provide a new estimated delivery date. In the event of a material delivery delay, you as a consumer have the right to cancel the purchase if the delay is not caused by you.

5.3

The Customer is responsible for ensuring that the delivery details provided are correct. If delivery cannot be completed due to incorrect information provided by the Customer, additional costs may be charged to the Customer.

5.4

The risk for the product transfers to the Customer when the Customer has received the product. If the Customer chooses not to collect or accept an ordered product within the specified time and the product is returned to Ecoride, Ecoride reserves the right to charge the Customer a fee to cover Ecoride’s costs for return shipping and administration. The size of the fee is specified on the website or provided by customer service.

5.5

Upon delivery, the Customer must inspect the condition of the product. Any transport damage must be reported immediately to the carrier and to Ecoride’s customer service.

6. Right of Withdrawal for Distance Contracts6.1

For purchases made via our webshop or other forms of distance selling, you as a consumer have the right to withdraw from the purchase within 14 days from the day you, or a person designated by you, received the product (the withdrawal period), in accordance with the Swedish Distance Contracts Act (2005:59).

6.2

To exercise your right of withdrawal, you must send a clear and unequivocal notice to Ecoride of your decision to withdraw from the agreement (e.g. via email to info@ecoride.com or by using the Swedish Consumer Agency’s standard withdrawal form available on their website). To meet the withdrawal deadline, it is sufficient that you send your notice before the withdrawal period expires. Please include your order number and contact details for faster handling.

6.3 Effects of Exercising the Right of Withdrawal

If you withdraw from your purchase, Ecoride will refund all payments received from you for the returned product, including standard delivery costs (additional delivery costs resulting from your choice of a more expensive delivery method than the cheapest standard delivery offered will not be refunded). The refund will be made without undue delay and no later than 14 days from the date on which Ecoride was informed of your decision to withdraw from the agreement. Ecoride reserves the right to withhold the refund until we have received the product back from you or until you have provided proof that you have returned the product, whichever occurs first. The refund will be made using the same payment method as used for the original purchase, unless otherwise expressly agreed.

6.4 Return of Goods

You must return the product to Ecoride without undue delay and in any event no later than 14 days from the day you notified us of your decision to withdraw from the agreement. The Customer bears the direct costs of returning the product. The cost of return shipping for an electric bicycle may be substantial. Contact our customer service for information on the return procedure and estimated return costs.

6.5 Condition of the Product Upon Return

You are responsible for any diminished value of the product resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the product. The product must be returned in essentially unchanged condition. You have the right to carefully examine the product. If the product has been used or handled beyond what is necessary to determine its function and characteristics, Ecoride may deduct an amount for depreciation from the refund.

6.6 Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to products that have been manufactured according to your instructions or that have been given a clear personal customization.

7. Complaints and Warranty7.1

If a product you purchased from Ecoride is defective, you have the right to file a complaint in accordance with the Swedish Consumer Sales Act (2022:260). A complaint must be made within a reasonable time after you discovered or should have discovered the defect. A complaint made within two months from the discovery of the defect is always considered timely. The right to complain applies for three years from the date you received the product.

7.2

To file a complaint, first contact the sales channel where you purchased the product (Ecoride’s webshop/customer service, Ecoride’s physical store, or the authorized retailer). You must be able to prove your purchase, for example with a receipt or order confirmation, and describe the defect. Ecoride (or the retailer) will examine the product.

7.3

If the product is defective and the defect is not caused by you or any circumstances on your side, Ecoride has the primary right to offer remedy (repair) or replacement (a new product of the same model), provided this can be done without unreasonable cost or inconvenience to you. If remedy or replacement is not possible, does not occur within a reasonable time, or if you have other strong reasons, you may be entitled to a price reduction or to cancel the purchase. In the event of cancellation, the purchase price will be refunded.

7.4

Ecoride may offer warranties for certain products in addition to the statutory right to complain. Any warranty terms and warranty periods are specified at the time of purchase or in separate warranty documentation. A warranty does not affect your rights under the Consumer Sales Act.

7.5

Ecoride is not responsible for defects arising from improper use, lack of maintenance, accidents occurring after receipt of the product, neglect, abnormal wear and tear, or if modifications or repairs have been carried out by a non-authorized workshop.

8. Limitation of Liability8.1

Ecoride’s liability for defects in products is limited to what follows from the Consumer Sales Act and any warranties provided. Ecoride is not liable for indirect damages, such as loss of profit or loss of data, unless Ecoride has acted with gross negligence or intent.

8.2

Ecoride’s total liability to the Customer for loss or damage arising in connection with a purchase shall, unless otherwise required by mandatory legislation, be limited to the total amount paid by the Customer to Ecoride for the product to which the claim relates.

9. Processing of Personal Data9.1

Ecoride processes your personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR). Detailed information on how we collect, use, store, and protect your personal data, as well as your rights as a data subject, can be found in our current Privacy Policy. The Privacy Policy forms an integral part of these Terms.

9.2

By purchasing an electric bicycle with IoT functionality, you consent to the collection of certain data from the bicycle, including but not limited to location data and ride data. The primary purpose of this collection is to provide you with features such as theft protection and service information via Ecoride’s App, as well as for Ecoride’s product development and quality improvement. For complete information about the processing of IoT data, including purposes, legal basis, and how data is used to develop new services based on aggregated and anonymized data, please refer to our Privacy Policy.

10. Intellectual Property Rights10.1

All intellectual property rights, including but not limited to trademarks, design, software (including the App), and copyrighted material related to Ecoride’s products and services, belong to Ecoride or its licensors.

10.2

The Customer is granted a limited, non-exclusive, non-transferable license to use the App and its software in accordance with the App’s terms of use, solely for personal use in connection with the use of Ecoride’s products. The Customer may not copy, modify, distribute, sell, or rent any part of our software or intellectual property rights.

11. Force Majeure11.1

Ecoride shall be exempt from liability for failure to fulfill any obligation under this agreement if such failure is due to a force majeure event and the event prevents, hinders, or delays performance. Force majeure events include, but are not limited to, government action or omission, new or amended legislation, labor disputes, blockades, fire, flood, sabotage, major accidents, or other similar circumstances beyond Ecoride’s control.

12. Dispute Resolution and Applicable Law12.1

Disputes concerning the interpretation or application of these Terms shall primarily be resolved through agreement between the parties. If no agreement can be reached, Ecoride recommends that the Customer contact the Swedish National Board for Consumer Disputes (Allmänna Reklamationsnämnden, ARN), www.arn.se, Box 174, 101 23 Stockholm. Ecoride follows ARN’s recommendations.

12.3

Swedish law shall apply to these Terms and any related legal relationships. Any dispute that cannot be resolved through alternative dispute resolution shall be finally settled by a Swedish general court.

13. Amendments to the Terms13.1

Ecoride reserves the right to amend these Terms at any time. Amended terms are published on Ecoride’s website and enter into force upon publication or on the specified date. Ecoride recommends that you regularly stay updated via the website. For purchases already completed, the terms published at the time of ordering apply. Material changes will be communicated to affected customers via email 1–4 months in advance.
